Mergers & Acquisitions Associate, 3rd - 6th Year
Location: New York, NY
Our distinguished law firm client's New York M&A practice is seeking a motivated 3rd - 6th year associate! You'll work alongside seasoned attorneys on a wide array of transactions involving both privately held and publicly traded companies. This group is adept at sell-side and mid-market transactions and is recognized for its cross-border capabilities.
Key Responsibilities:
- Assist in the drafting, negotiation, and review of definitive agreements for mergers, acquisitions, dispositions, joint ventures, and other strategic transactions.
- Conduct due diligence reviews and prepare related memoranda and risk assessments for clients and internal teams.
- Prepare and review corporate governance documents, board resolutions, and closing deliverables.
- Support senior attorneys in the management and execution of all phases of M&A transactions, including deal structuring, regulatory filings, and closing logistics.
- Liaise directly with clients, opposing counsel, financial advisors, and other third-party professionals involved in the transaction process.
Qualifications:
- JD from an accredited law school with strong academic credentials.
- 3-6 years of experience in M&A transactions at a major law firm.
- Admission to the New York State Bar or eligibility to waive in.
- Excellent drafting, organizational, and analytical skills.
- Strong interpersonal skills and a demonstrated ability to work collaboratively in a team-oriented environment.
- Capacity to manage multiple workstreams in a deadline-driven practice.
