LHH has partnered with a great firm in Seattle, WA who is looking for their next Senior Corporate Paralegal!
Key Responsibilities
Startup Support (Required)
-
Incorporate technology and life sciences companies
-
Manage corporate records and stock option plans
-
Administer equity platforms such as Carta and Shareworks
-
Support venture capital financings and blue sky research
Mergers & Acquisitions (Required)
-
Collect and organize due diligence materials
-
Conduct diligence and capitalization research
-
Coordinate shareholder communications and regulatory filings
-
Draft and manage signing/closing documents and prepare closing volumes
Capital Markets & Public Companies (Preferred)
-
Assist with IPOs and public company compliance
-
Prepare registration statement backups and ownership tables
-
Support Section 16 reporting, Rule 144 letters, and legend removals
-
Coordinate with transfer agents, stock exchanges, and FINRA
-
Draft board resolutions, closing documents, and maintain records
Qualifications
-
Minimum 5 years of corporate and transactional paralegal experience
-
Proficiency with Carta, Shareworks, and Excel
-
Strong organizational, research, and communication skills
-
Ability to manage multiple priorities in a fast-paced, deadline-driven environment
-
Experience in a large corporate legal department or law firm preferred
-
Bachelor’s degree and/or ABA-approved paralegal certificate required

Salary: $120,000 - $180,000
